The deal, in eight lines

Uburu is software that helps you understand your own money — it is not a bank and does not move money. You get a personal, non-commercial licence: you don’t own the software, we don’t own your data. Only upload documents that are yours. Access is invite-only, and selling passes ends your account. Categorisation is done by AI and will sometimes be wrong, so check anything that matters. Exchange rates shown are indicative only. We limit our liability as software companies do — but not in ways the law doesn’t permit. Wyoming law governs; if you’re a consumer elsewhere, your local protections still apply.

1. Who you are contracting with

These Terms are between you and UburuIO, a Maple & Chen Company, formed under the laws of the State of Wyoming, United States, with its registered address at 5830 East 2nd St, Suite 99333, Casper, WY 82609, USA ("Uburu", "we", "us"). By creating an account or using Uburu, you agree to these Terms.

2. What Uburu is — and what it is not

Uburu is behavioural personal-finance software. You upload your own bank statements and paystubs; we parse them and show you patterns, goals and insights. Uburu is not a bank, credit union or deposit-taking institution; not a money services business or money transmitter; not a broker-dealer, investment adviser or financial planner; not a credit reference agency; and not a tax preparer. We hold no funds, initiate no payments and execute no currency conversions. Nothing in Uburu is financial, investment, legal or tax advice.

3. Your licence

A limited, non-exclusive, non-transferable, revocable licence to use Uburu for your own personal, non-commercial purposes. You may not use Uburu to provide services to others or to manage another person's finances commercially — advisers, bookkeepers and accountants need a separate written agreement. You may not reverse engineer the Service, scrape it, circumvent rate limits or the invite system, or resell access.

4. Allocation Passes and access

Access is invite-only, granted through Allocation Passes. Passes have no monetary value: they are a revocable permission, not property, currency or a transferable asset, and cannot be redeemed for cash. Unredeemed passes expire on the date shown. Selling, auctioning or trading passes for consideration ends your access immediately, as does bulk or automated generation.

5. Documents you upload

Each time you upload a document you warrant that it relates to an account or income that is yours, or that you have the explicit authority of the account holder. Uploading someone else's statement without clear authority may be unlawful, and you are responsible for that judgment. Uburu will never ask for your online banking username, password, PIN or one-time codes — anyone doing so while claiming to be Uburu is committing fraud. Documents are processed in memory and never stored; the information extracted from them is stored. You keep all rights in your financial data.

6. Accuracy, and what you remain responsible for

Extraction and categorisation are automated and will sometimes be wrong — misread amounts, wrong dates, mis-categorised merchants, missed transactions. You are responsible for checking anything you rely on. Do not use Uburu as your only record for tax filings, loan applications or legal proceedings; your bank's own statements remain the authoritative record. Exchange rates shown are indicative only and are not a rate you can transact at. Insights are generated from past data and are not guarantees about your future finances.

7. Third parties and partner offers

We may display offers from third-party financial providers. Those are independent companies; we are not a party to any agreement you make with them. We may receive a referral fee or commission when you engage a partner, which does not change what you pay. Inclusion is not endorsement or advice that a product suits you. 8. Payment and subscriptions

Plans and pricing are as shown in-app at the time of purchase. We may change pricing prospectively with at least 30 days' notice, and changes never apply to a period you have already paid for. Payments are handled by Stripe — we never see or store your card number. Subscriptions renew automatically until cancelled, and you can cancel any time from Settings, keeping access until the end of the paid period. Except where local consumer law requires otherwise, fees are non-refundable and partial periods are not pro-rated.

9. Availability

We aim for a reliable service but do not guarantee uninterrupted availability. We may suspend access for maintenance, security, or circumstances beyond our control, and may modify or discontinue features. Where a change is material and adverse, we will give reasonable notice and let you export your data.

10. Intellectual property

The Uburu software, name, logo, interface, design, algorithms, behavioural models and categorisation taxonomy belong to us. Your financial data, goals, notes and uploads remain yours. If you send us suggestions, we may use them without obligation or compensation.

11. Suspension and termination

You can close your account at any time from Settings. We may suspend or terminate for breach of these Terms, unlawful use, abuse of the invite system, non-payment, or risk to the security of the Service — and where practical and lawful we will give notice and an opportunity to remedy. We will not terminate an account merely for exercising a privacy right.

12. Indemnity

You will indemnify us against claims arising from your breach of these Terms, documents you uploaded without authority, your unlawful use of the Service, or your infringement of anyone's rights. This does not apply where the claim arises from our own breach, negligence or wilful misconduct, and nothing here requires a consumer to indemnify us beyond what local law permits.

13. Disclaimers

Except as expressly stated and to the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, including that parsing will be accurate. Nothing in these Terms excludes any warranty, right or remedy that cannot lawfully be excluded — including under the UK Consumer Rights Act 2015, EU consumer directives, the Australian Consumer Law, and equivalent legislation.

14. Limitation of liability

To the fullest extent permitted by law we are not liable for indirect, incidental, special or consequential damages, nor for financial decisions you make using Uburu, errors in AI parsing, exchange-rate movements, or failures of third-party providers. Our total aggregate liability is limited to the greater of the amount you paid us in the 12 months before the claim, or USD 100. Nothing excludes liability for death or personal injury caused by negligence, or for fraud. If you are a consumer, these limits apply only so far as your local law permits.

15. Disputes

Email support@uburu.io first — we ask for 30 days to resolve things before formal proceedings. These Terms are governed by the laws of the State of Wyoming, United States, and the state and federal courts located in Wyoming have exclusive jurisdiction. If you are a consumer resident in the EU, UK or another jurisdiction granting mandatory protections, nothing here deprives you of them: you may bring proceedings where you live, and your home consumer-protection rules continue to apply.

16. Changes to these Terms

We may update these Terms. Material changes will be notified by email and in-app at least 14 days before they take effect, and continued use afterwards constitutes acceptance. If you do not accept a material adverse change and have paid for a period you can no longer use, contact us about a pro-rated refund.

17. General

These Terms, the Privacy Policy and the Financial & Regulatory Disclaimers form the whole agreement between us. If a provision is unenforceable, the rest stands. Not enforcing something once does not waive it. You may not assign these Terms; we may assign on a merger or sale of assets, with notice. Neither party is liable for failures caused by events beyond reasonable control. Where translations are provided, the English version governs.
